Inclusion of Software in the Russian Software Register

The register of Russian computer programs (the Russian Software Register) is maintained by the Ministry of Digital Development. A product is included in it on application if both the product itself and its rights holder meet the requirements, and after inclusion, changes to the information are notified to the Ministry.

We are most often instructed by:

  • Rights holders of products already included in the register

01 / Overview
What the register requires

The requirements of the register of Russian computer programs apply to the rights holder and to the product. The rights holder is assessed on the composition of its participants, control over it and payments to foreign persons. The product is assessed on ownership of the exclusive right, the distribution procedure, warranty support and the place where the source code is stored.

The exclusive right to the product must belong to the rights holder in full. Where the product was created by employees and contractors, ownership of the right is confirmed by documents for each person who worked on it.

After inclusion, the Ministry of Digital Development periodically checks the register information for compliance with the requirements.

Challenge

Advising the buyer on the acquisition of shares in a foreign company that owns a Russian manufacturer of industrial equipment and digital solutions for equipment management and monitoring. The acquisition of the foreign company was governed by English law.

What was done

Comprehensive legal due diligence of the Russian business was carried out, covering its contractual relationships and intellectual property rights, and the foreign ownership structure was analysed. The findings were reflected in the terms of the transaction and the arrangements for its closing.

Purchase of an interest

Purchase of an interest in an app developer with an audience of more than 1.5 million users a week

Challenge

Advising the buyer on the acquisition of an interest in a company developing a healthy lifestyle app. The app's weekly audience exceeded 1.5 million users worldwide.

What was done

Comprehensive legal due diligence was carried out, covering business operations, corporate history, intellectual property rights, employment relationships and the legal risks material to the transaction. The findings were reflected in the structuring of the transaction and the preparation of the contractual documentation.

Investment transaction

Investment in a developer of 3D interior design solutions

Challenge

Advising on an investment transaction involving a company that develops 3D interior design solutions. The structure provided for the grant of an option right to the investor.

What was done

The project's founder was given the possibility of buying this right back before the investor exercised it. The terms of such a buy-back and the consequences of changes to the parties' arrangements on future equity participation were agreed.

Challenge

Advising on an investment in a company developing a platform that aggregates educational courses, made by way of a convertible loan.

What was done

The terms of the financing and of the investor's future entry into the company's capital were determined, including the conversion parameters and the consequences of different scenarios for the transaction. The engagement covered agreeing the documents and the procedures required to implement the transaction.

Third-party components do not in themselves prevent inclusion. Their composition and terms of use are disclosed in the product information and taken into account in the compliance assessment.

The terms of use of individual components affect how the product is distributed and the content of the application. The analysis is carried out before filing: the product description also depends on its results.

The grounds are established from the text of the decision. Comments most often concern the documents on rights, the description of the product and its functions, and information on components and the distribution procedure.

It is determined whether applications are filed for each product or for a single product with versions. The descriptions of the products in the line are prepared consistently: the information about them in the register must not diverge.

The change is notified to the Ministry of Digital Development together with other changes to the information. Before notification, it is checked whether the rights holder meets the requirements with its new composition of participants.

An hourly rate, a fixed fee or a combined model is used; in some cases part of the fee depends on the outcome achieved. The fee is determined by the time actually spent, the complexity of the matter and the overall timeframe of the project, and is agreed before work begins.
